Terms of Service

These Terms of Service ("Terms") govern your access to and use of the cloud-based document translation platform operated by noll.to – Yash Khare & Nicolai Schmid GbR ("noll.to", "we", "us", or "our").

By creating an account or using our services, you agree to be bound by these Terms. If you do not agree, you may not use noll.to.

1. Service Description

noll.to is a cloud-based translation service for documents and text. We support the following file formats: PDF, DOCX, XLSX, PPTX, and plain text.

You can submit documents for translation through:

• Web upload via our website
• API access
• Integrations with Microsoft 365 (SharePoint, OneDrive, Teams, Outlook), Google Drive, and Slack

Translations are performed automatically using machine translation infrastructure hosted in EU data centres. No human translators have access to your documents.

2. Account Registration

To use noll.to, you must create an account with a valid email address. You are responsible for:

• providing accurate and up-to-date account information,
• keeping your login credentials confidential,
• all activity that occurs under your account.

You must notify us immediately at team@noll.to if you suspect unauthorised access to your account.

3. Subscriptions and Payment

Merchant of Record

Payment processing and invoicing are handled by Polar Software Inc. ("Polar"), which acts as our Merchant of Record. Polar is the reseller of our digital services and handles payment collection, invoicing, and tax treatment (including VAT).

Plans and Billing

We offer subscription plans with usage-based billing. The available plans and their pricing are displayed on our website. Subscriptions renew automatically at the end of each billing period unless cancelled beforehand.

Price Changes

We may adjust pricing for future billing periods. You will be notified of any price changes at least 30 days in advance. Continued use of the service after a price change takes effect constitutes acceptance of the new pricing.

Refunds

Because noll.to provides a digital service that is consumed immediately upon use, refunds are generally not available once a translation has been processed. If you believe a charge was made in error, please contact us at team@noll.to within 14 days.

4. Acceptable Use

You agree not to use noll.to to:

• upload or translate content that is illegal, defamatory, threatening, or that violates the rights of third parties,
• transmit malware, viruses, or any harmful code,
• attempt to gain unauthorised access to our systems or other users' accounts,
• reverse engineer, decompile, or disassemble any part of the service,
• circumvent usage limits, rate limits, or access controls,
• use the service in a way that impairs its availability or performance for other users,
• resell or redistribute the service without our written consent.

We reserve the right to suspend or terminate your account if you violate these terms.

5. Data Handling and Privacy

Zero Data Retention

noll.to follows a privacy-first approach. By default, uploaded documents and translation results are retained for 48 hours to enable re-downloads, after which they are automatically deleted. This retention period can be configured by the customer.

You may also manually delete your documents at any time through your account.

Privacy Policy

Our processing of personal data is governed by our Privacy Policy, which forms an integral part of these Terms. By using noll.to, you acknowledge that you have read and understood our Privacy Policy.

Document Content

You are responsible for ensuring that you have the right to upload and translate any documents you submit. If your documents contain personal data of third parties, you are responsible for compliance with applicable data protection laws (including the GDPR).

6. Intellectual Property

Your Content

You retain all rights to the documents you upload and the translations you receive. We do not claim any ownership or licence over your content beyond what is necessary to provide the service.

Our Platform

The noll.to platform, including its software, design, branding, and documentation, is owned by us and protected by applicable intellectual property laws. These Terms do not grant you any rights to use our trademarks, logos, or branding.

7. Third-Party Services

noll.to relies on third-party services to provide its functionality:

• Microsoft Azure for machine translation (EU data centres)
• Polar for payment processing
• Vercel for hosting (EU region)

When you use integrations (Microsoft 365, Google Drive, Slack), those services are subject to their own terms and conditions. We are not responsible for the availability or behaviour of third-party services.

8. Service Availability

We strive to keep noll.to available and reliable, but we do not guarantee uninterrupted or error-free service. We may temporarily restrict access for maintenance, updates, or security reasons.

We reserve the right to modify, suspend, or discontinue features of the service at any time. If we discontinue the service entirely, we will provide reasonable advance notice.

9. Limitation of Liability

To the extent permitted by applicable law:

• Our total liability for any claims arising from or related to these Terms or the use of noll.to is limited to the fees you have paid to us in the 12 months preceding the claim.
• We are not liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.

The above limitations do not apply to:

• liability for damages caused by intentional misconduct or gross negligence,
• liability for injury to life, body, or health,
• liability under mandatory provisions of German law that cannot be excluded.

10. Warranty Disclaimer

noll.to is provided on an "as is" and "as available" basis. While we take reasonable care to ensure the quality of our service, we do not guarantee that:

• translations will be error-free, complete, or fit for any particular purpose,
• the service will meet all of your requirements,
• the service will be free from interruptions or defects.

Machine translation is inherently imperfect. You are responsible for reviewing translations before relying on them for critical purposes.

11. Indemnification

You agree to indemnify and hold noll.to harmless from any claims, damages, losses, or expenses (including reasonable legal fees) arising from:

• your violation of these Terms,
• your use of the service,
• your violation of any rights of a third party,
• content you upload to the service.

12. Termination

By You

You may cancel your subscription and delete your account at any time. Upon cancellation, your access to paid features ends at the conclusion of the current billing period.

By Us

We may suspend or terminate your account if you breach these Terms or if required by law. In the event of termination for cause, no refund of prepaid fees will be issued.

Effect of Termination

Upon termination, your right to use the service ceases. Any documents still stored will be deleted in accordance with our data retention policy.

13. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated to you via email or through a notice on our website at least 30 days before they take effect.

Your continued use of noll.to after updated Terms take effect constitutes acceptance of the changes. If you do not agree with the updated Terms, you must stop using the service and cancel your account.

14. Governing Law and Jurisdiction

These Terms are governed by the laws of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).

For consumers, the mandatory consumer protection laws of the country of their habitual residence apply in addition to the above.

The exclusive place of jurisdiction for all disputes arising from or in connection with these Terms is Luebeck, Germany, to the extent permitted by law.

15. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions remain in full force and effect. The invalid provision shall be replaced by a valid provision that most closely reflects the original intent.
